Terms and Conditions

A signed contract and paid deposit will be required prior to commencement of any and all work. Some clients may be required to pay in full before their project is undertaken. We strive to make every project as painless for our clients as possible, but note that website development and SEO will require a small amount of homework on your part. If you are unable to commit to following through, providing requested deliverables, and answering correspondence regarding your project by established deadlines please wait until the time is right for you to contract with us as deposits are NOT refundable under any circumstances.

Invoices are sent to the client via email and are due on Net 14 terms; payable via Paypal (plus 3.5%) or by check on Net 7 terms for select clients. Invoices not reconciled by due date incur a $25 or 5% of balance, whichever is greater, late payment penalty. Invoices not reconciled within 30 days incur an additional $50 or 10% of balance, whichever is greater, per month until reconciled. Balances unpaid over 120 days will be referred to a collections agency and recorded as unpaid in the client’s credit report. It is understood that contracting with Codehead, LLP for SEO [Search Engine Optimization] services does not bring guaranteed specific search returns, nor other relative guaranteed results, either explicit or implied. It is also understood that any SEO result is/can be affected by the Client’s cooperation in performing advised actions as well as by outside competition for the same results.

A signed contract with Codehead, LLP implies a confidential relationship between Codehead, LLP and the client. Information concerning Codehead, LLP and/or client business affairs, vendors, finances, properties, methods of operation, computer programs, employees, documentation, and other such information whether written, oral, or otherwise, is confidential in nature for the duration of the agreement/project and beyond. Privacy and the proprietary nature of the work we do as well as that of our client’s work are very important to us. We welcome and sign mutual NDAs [Non-Disclosure Agreements] with our clients.

Codehead, LLP operates in the state of Washington. As such, all contracts shall be entered into based on Washington State law.
